WHEREAS, Mr. Solomon Peter is the owner and has all right, copyrights, title and interest in and to the websites and online portals with its Land Listing, bookings and Sales engine, Intellectual properties, CRM, Trading platform, Sales engine, Marketing engines, fintech engines, programs, trademarks, logos, cancellation Matrix, Follow Up Matrix, Spot Blocking, Bulk Blocking, Bidding and all other commercial value parameters individually or collectively collectively known by the domain names and not limited to, “www.LandExchange.in, www.LandCard.in, www.LandTraders.in, www.LandROI.in, www.LandDiscovery.in,   www.LandLordclub.in, www.LandFestival.in, www.HobbyFarming.in, www.AgroTourism.club, www.Plantationz.in, www.Holidaymatters.in, www.Rent2Buy.in, www.NextGenCities.in, www.ModernVillages.in, www.Farmhousz.in www.BoldCalling.in” (referred to collectively and alternatively in this Agreement as the “Websites” or the “Primary Domains” or “Digital Assets”). (Hereinafter called as “The LandExchange Eco System and/or LandTraders Trading Network”). The Websites are targeted at persons with an interest in real estate business desirous of buying, selling, trading or referring developed land, agricultural land, industrial land, residential land, lands and plots of all size, make, definition in and across Indian geography. The programmes are defined for customer information, interaction, customer acquisition and transaction platform. 

 

AND WHEREAS, the Franchisor herein is the Licensee of Mr. Solomon Peter for “Websites” or the “Primary Domains” or “Digital Assets” and all the systems mentioned in the said Exclusive License Agreement entered with him.

 

AND WHEREAS, the Franchisor herein is a master infrastructure developer, Real Estate investor and development company that operates throughout INDIA and uses digital platforms over the Internet, offering various services and products in creation of NextGenCities, Modern Villages and buying, selling, trading of all kinds of lands.

 

AND WHEREAS, Mr. Solomon Peter is an Investor and creator of business models, Intellectual properties and digital assets with his business acumen and resources, and is desirous of Licensing the digital assets with its IP right, copyrights, title and interest in and to the websites and online portals with its Intellectual properties, CRM, Trading platform, Sales engine, Marketing engines, fintech engines, programs, trademarks, logos cancellation Matrix, Follow Up Matrix, Spot Blocking, Bulk Blocking, Bidding and all other commercial value parameters collectively known by the domain names “www.LandExchange.in, www.LandTraders.in, www.LandROI.in, www.LandDiscovery.in. www.LandLordclub.in, www.LandFestival.in, www.HobbyFarming.in, www.AgroTourism.club, www.Plantationz.in, www.Holidaymatters.in, www.Rent2Buy.in, www.NextGenCities.in, www.ModernVillages.in, www.Farmhousz.in, www.BoldCalling.in”.

 

AND WHEREAS,  Franchisor desires to create Franchisee netwrok by Licensing the entire eco system of digital assets as mentioned in this agreement of Solomon Peter for further enhancement & development of its business, License the entire digital space of the Websites digital assets or Domains for its Ethical, Moral and Legal business purposes.

 

AND WHEREAS, Franchisor identifies “The Land Exchange Eco System and/or Land Traders Trading Network” system by means of certain trade names, service marks, trademarks, logos, emblems, and other indicia of origin, including, but not limited to the mark “Land Exchange” and all such other trade names, service marks, trademarks and trade dress as are now or may hereafter, be designated by Franchisor for use in connection with the “The LandExchange Eco System and/or LandTraders Trading Network” (Collectively referred to as the Proprietary Marks”).

 

AND WHEREAS, Franchisor continues to develop, use, and control the use of such Proprietary Marks in order to identify for the public the source of services and products marketed there under in the “The Land Exchange Eco System and/or Land Traders Trading Network”   system and to represent the system’s high standards of quality, appearance and service.

 

AND WHEREAS, Franchisor wishes to be assisted, trained and licensed to use, in connection therewith, the“The Land Exchange Eco System and/or Land Traders Trading Network”  System.

 

AND WHEREAS, Franchisor understands the importance of the “The Land Exchange Eco System and/or Land Traders Trading Network”  System and “The Land Exchange Eco System and/or Land Traders Trading Network”   high and uniform standards of quality and service and the necessity of opening and operating “The Land Exchange Eco System and/or Land Traders Trading Network”  stores/shops/offices in conformity with the “The Land Exchange Eco System and/or Land Traders Trading Network”  system.

 

NOW THIS INDENTURE WITNESSETH, AND IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES AS UNDER :-

 

  1. DEFINITIONS

All websites and online portals with its Land Listing, bookings and Sales engine, Intellectual properties, CRM, Trading platform, Sales engine, Marketing engines, fintech engines, programs, trademarks, logos, Life Time Value (LTV) Parameters, Lead Vault Access, Test Drive Programmes, Land Purchase Simulations, Voice Analytics Software, Sales Training Modules and all other commercial value parameters as added and updated collectively known in respect of all the domain names “www.LandExchange.in, www.LandCard.in, www.LandTraders.in, www.LandROI.in, www.LandDiscovery.in. www.LandLordclub.in, www.LandFestival.in, www.HobbyFarming.in, www.AgroTourism.club, www.Plantationz.in, www.Holidaymatters.in, www.Rent2Buy.in, www.NextGenCities.in, www.ModernVillages.in, www.Farmhousz.in, www.BoldCalling.in”.

 

1.2 THE PRODUCT :- 

It includes all service, sales, consultancy, contracting and all the allied activities in relation to sale, purchase, lease, trade, refer, information interaction, transaction as a forward and backward integration of positioning, selling land digitally with online and offline modes. Products defined as Minimum Investment Maximum Land (MIML), developed Plots, agricultural land, industrial land, residential land, lands and plots of all size, make, definition in and across Indian geography. 

 

1.3 THE LICENSE TO ACCESS :-

It includes access to “The Land Exchange Eco System and/or Land Traders Trading Network” all product and programme listed on www.landtraders.in  providing access to admin panel for  monitoring information interaction transaction and earning payouts records, creation of subdomain enterprise identity as franchise enterprise entity for visibility to its customers.

 



What www.LandTraders.in is not….


1) www.LandTraders.in is not a cumulative investment scheme (CIS) program or MLM system or any form of quick rich scheme.

2) For Land Traders to be successful, earn or make money on a consistent basis, the system of www.LlandTraders.in has to be run on a daily basis including selling of services & products of www.LandExchange.in, taking training workshop, purchasing leads, dedicated client follow up, interaction and hand holding.

3) www.LandTraders.in system is not for fly by night operators who want to use other people’s network and resources for the personal financial gain.

4) www.LandTraders.in system is not for people who don't want to follow legal ethical and moral code of conducting business.

5) www.LandTraders.in system is not for people who want to do shady under table black cash transaction or who do not want to follow the regulatory framework like RERA, IT & GST.

6) www.LandTraders.in system is not for people who don't want to use technology or take training programs or does not want to individually or independently contribute or
grow for their own financial success.

7) www.LandTraders.in system is not for people who do not believe in land as a preferred usable savings product.

8) www.LandTraders.in system is not for people who cannot or don't want to help other people to buy their own land.

9) www.LandTraders.in system is not for people who are shy or introvert who cannot talk to people.

10) www.LandTraders.in system is not for people who do not want to follow the program or run the program of www.LandExchange.in ecosystem as a legit Small Business Unit.

11) www.LandTraders.in system is not a get rich, fly by night operator scheme, if you don't run the www.landTraders.in system like a professional business you will not make money and the licence fee will be lost without any recourse, if you're not serious about your money and business you should not join and not be a part of the www.LandExchange.in or www.LandTraders.in network.

4) www.LandTraders.in franchise program is a statistical program based on law of averages, Dunbar’s number and Metcalfe law, MIS & CRM framework, on an average if the trader talks to the customer or deploys a network of people to talk to the customer there is a definite amount of conversion that happens for continuous business and earnings

Franchisee Disclosure Document

  • FDD Item 1: The Franchisor and any Parents, Predecessors, and Affiliates

The franchisor Namely “Principle Infra Projects Ltd” (PIPL) is a company incorporated under the companies act 2013, having office at 7th floor, office no 712, Platinum Square building, Viman Nagar, next to Hyatt Hotel, Nagar Road, Pune 411016, is the exclusive licensee of website, primary domains, web portals and digital assets of Mr. Solomon peter an Investor and Creator of digital assets. PIPL along with its subsidiaries, affiliates and group companies are master developers and Investor companies specifically in the LAND development and selling space.

  • FDD Item 2: Concept & Outlook

The Franchisor is in the business incorporated in 2015, with experience in identifying and defining LAND master development parameters to connect the urban to the rural and create NextGenCities and Modern Villages, defining geographical expansion methodologies rather than arithmetic progression, focused on horizontal living rather than vertical living reducing and maintaining tenement density in cities.

 

  • FDD Item 3: Management

The franchisor has a well-defined organisation structure, comprising of Advisors from relative fields, Board of Director, Management team and operation head for Legal, Technology, Finance, Sales, Marketing and Advertisement, Administration, development and contracting etc.

  • FDD Item 4: Litigation

The franchisor for the past 7 years has not been engaged in any litigation in any courts of INDIA and has a robust Legal team and Arbitration team.

  • FDD Item 5: Initial Fees

The franchisors charges a yearly renewal registration fees as decided by the board year on year for the franchisee, any traders that the franchisee appoints for its business has a registration charge for creating new ID for the Traders.

  • FDD Item 6: Other Fees

The franchisor charges for the leads purchased from the Lead Vault Within the “The LandExchange Eco System and/or LandTraders Trading Network” advance training charges and others as decided from time to time by the board.

  • FDD Item 7: Additiona Cost

There would be other cost in terms of infrastructure like office furniture’s employees opex and capex depending on the scale the franchisee decides to built on.

  • FDD Item 8: Restrictions on Sources of Products and Services

The franchisor in it “LandExchange Eco System and/or LandTraders Trading Network” has predefined products, services and franchisee id obligated to promote and sell those products only, other products that are not in the “LandExchange Eco System and/or LandTraders Trading Network” cannot be sold to the leads purchased by the franchisee.

  • FDD Item 9: Franchisee's Obligations

The franchisee obligation are detailed in the franchisee agreement a draft copy is attached for review.

  • FDD Item 10: Financing

The franchisor does not undertake, commit or give guarantee to loans or financing of any franchisee entities.

  • FDD Item 11: Assistance, Advertising, Computer Systems, and Training

The franchisors marketing and advertising  strategy is within the scope of the franchisor and is generically and specifically targeted without any obligation to the franchisee, the franchisor does not commit or promise to specifically use and celebrity endorsement for the franchisee. Basis the performance parameters set by the franchisor and achievement of those parameters by the franchisee entitles to additional sign board and specific advertisement provisions for the franchisee.

  • FDD Item 12: Territory

Since the it “LandExchange Eco System and/or LandTraders Trading Network” is an online program and leads from all over the country is gathered on the system the franchisee can purchase and close these leads in all geographical reach of the system.

  • FDD Item 13: Trademarks

The franchisor is the exclusive licensee holder of all trademarks, logos, IP concept content context all per license by Mr Solomon Peter.

  • FDD Item 14: Obligation to Participate in the Actual Operation of the Franchise Business

The franchisor is not obligated to participate in the actual operation of the franchisee except the support of the entire system provided by the franchisor from time to time for conversion of the leads of the franchisee.

  • FDD Item 15: Renewal, Termination, Transfer, and Dispute Resolution

The franchisee agreement is a yearly renewal agreement, the agreement can be terminated if the covenants and obligation as defined in the franchisee agreement is tampered with, transfer of the agreement is subject to prior approval from the franchisor with a transfer fee attached to the incoming new franchisee. All dispute is first referred to the franchisor dispute resolution committee then to the arbitrator as per arbitration clause in the franchisee agreement.

  • FDD Item 18: Public Figures

The franchisor from time to time will engage celebrity and public figure and influencers for promotion of the entire product platform and program.

  • FDD Item 19: Financial Performance Representations

The franchisee can take the help of the franchisors special financial performance resources to predefine targets and hoew that can be achieved for business growth of the franchiseeWithin FDD Item 19 franchisors must disclose whether or not it is making any Financial Performance Representations and if it does, the franchise.

  • FDD Item 21: Financial Statements

All financial statement and records of the franchisee is online and can be reviewed or reconciled by the franchisor amicably.

  • FDD Item 22: Contracts

The franchisor and the franchisee has to sign an franchisee agreement for access to the entire it “LandExchange Eco System and/or LandTraders Trading Network” to begin operations of the system.

  • FDD Item 23: Receipts and Earnings

All receipt and the earnings is predefined and predesigned on the platform and can be accessed and downloaded online from the system.
